Terms of Use

1. Eligibility and Accounts

1.1 Eligibility

You must be at least 18 years old to purchase a Build It membership, enroll in coaching, or otherwise enter into a binding agreement with Build It.

By using the Services, you represent and warrant that:

• you are at least 18 years old;
• you have the legal capacity to enter into these Terms;
• all information you provide to Build It is accurate and complete; and
• you will comply with these Terms and all applicable laws.

Build It may refuse membership or access to any person at its discretion.

1.2 Account Registration

Certain features of the Services may require you to create an account. You agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring through your account. You agree to notify Build It immediately if you believe your account has been accessed without authorization.

1.3 Business Accounts

If you access Build It on behalf of a company, employer, partnership, or other organization, you represent that you have authority to bind that organization to these Terms.

2. The Build It Services

Build It provides educational, training, coaching, networking, and community-based services for construction and real estate professionals.

The Services may include:

• online educational content;
• construction and business training;
• educational courses and resources;
• templates, frameworks, checklists, and other tools;
• live webinars;
• workshops;
• business coaching;
• 1:1 coaching;
• private community access;
• networking opportunities;
• member discussions;
• guest speakers and expert sessions;
• downloadable resources;
• events and other educational experiences; and
• other services or features that Build It may introduce from time to time.

The specific features included in a particular membership or coaching program may vary. Build It does not guarantee that any particular instructor, coach, speaker, workshop, feature, or resource will always be available.

3. Educational and Business Disclaimer

Build It provides educational and informational content for general business and professional development purposes. Build It is not a law firm, accounting firm, investment adviser, financial adviser, insurance adviser, architect, engineer, general contractor, or other professional services provider solely by virtue of providing educational content through the Services. Information provided through Build It should not be considered legal, tax, accounting, financial, architectural, engineering, construction, insurance, or other professional advice. You are solely responsible for determining whether any information, strategy, process, template, recommendation, or framework is appropriate for your particular business, project, property, financial situation, or circumstances. You should consult appropriately licensed professionals before making decisions that require professional advice. Build It does not guarantee that any particular strategy, system, process, or recommendation will produce a particular financial, business, construction, or operational result.

4. License to Use the Services

Subject to your compliance with these Terms and payment of all applicable fees, Build It grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your personal or internal business purposes.

You may not:

• reproduce Build It content except as expressly permitted;
• distribute, publish, sell, license, or sublicense Build It content;
• share your membership credentials with another person;
• provide unauthorized access to the Services;
• copy or redistribute courses, videos, workshops, templates, documents, or other materials;
• record or redistribute coaching sessions or private workshops without permission;
• use Build It content to create a competing education, coaching, or training business;
• remove copyright, trademark, or proprietary notices; or
• use the Services for any unlawful purpose.

Your membership is personal to you unless Build It expressly provides otherwise in writing.

5. Build It Content and Intellectual Property

All materials made available through Build It, including videos, courses, training materials, presentations, documents, templates, checklists, frameworks, graphics, photographs, logos, trademarks, website content, written materials, recordings, workshops, coaching materials, software, databases, community materials, and other content are owned by or licensed to Build It and are protected by applicable intellectual property laws. Except for the limited license expressly granted under these Terms, no rights are transferred to you. BUILD IT, its logos, names, designs, and related marks are trademarks or trade names of Build It or its affiliates and may not be used without prior written permission.

6. User Content and Community Participation

Build It may allow members to post, submit, upload, share, or otherwise provide content through the Services ("User Content"). User Content may include comments, questions, discussions, photographs, videos, project information, business information, feedback, testimonials, documents, recommendations, and other materials.

You retain ownership of your User Content. However, by submitting User Content through the Services, you grant Build It a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, modify, and otherwise use that User Content as reasonably necessary to operate, maintain, improve, promote, and provide the Services. You represent that you have all rights necessary to provide the User Content and grant this license.

You must not submit content that violates another person's rights; contains confidential information you do not have permission to disclose; infringes intellectual property rights; is unlawful, defamatory, fraudulent, threatening, or abusive; contains malicious software; contains sensitive personal information of another person without authorization; or violates these Terms.

7. Community Standards

Build It is intended to be a professional community. You agree to treat other members, coaches, instructors, employees, vendors, and participants respectfully.

You may not use the community to harass, threaten, intimidate, or abuse another person; discriminate against another person; impersonate another person or company; spam members; solicit members without authorization; distribute misleading or fraudulent information; promote illegal activities; post sexually explicit or otherwise inappropriate material; share private or confidential information belonging to another member; interfere with another member's use of the Services; or engage in conduct that Build It reasonably determines is inappropriate or harmful to the community.

Build It reserves the right to remove content and suspend or terminate accounts that violate these standards.

8. Confidentiality of Member Information

Because Build It is a professional community, members may discuss businesses, projects, strategies, financial information, vendors, clients, employees, and other sensitive matters. You agree not to use or disclose another member's confidential or proprietary information except with that member's permission or as required by law. Build It does not guarantee that information shared by members within the community will remain confidential. Do not share information through Build It that you are legally or contractually prohibited from disclosing.

9. Feedback

If you provide suggestions, ideas, recommendations, comments, or other feedback regarding Build It ("Feedback"), you grant Build It the right to use that Feedback without compensation or obligation to you. You agree that Build It may use Feedback to improve, develop, market, or modify its Services.

10. Memberships

Build It may offer different membership levels from time to time. The current website identifies a General Membership at $97 per month and PRO Coaching at $497 per month, with the features of each plan described on the Build It website. Build It may modify membership offerings, features, pricing, or benefits from time to time. Your specific membership terms will be those presented to you when you purchase or renew your membership, together with these Terms.

11. PRO Coaching

PRO Coaching may include personalized business coaching, webinars, workshops, business strategies, networking opportunities, introductions, and other educational or coaching services. Build It does not guarantee increased revenue, increased profitability, new clients, successful projects, investment returns, business growth, employee growth, specific construction results, specific sales results, successful referrals or introductions, business relationships or partnerships, contracts, projects, employment opportunities, or any other particular outcome. Results depend on numerous factors outside Build It's control, including your experience, market conditions, business decisions, implementation, resources, individual circumstances, and the conduct and decisions of third parties. Coaching is educational and advisory in nature and does not create an attorney-client, accountant-client, financial adviser-client, architect-client, engineer-client, or other professional relationship unless separately agreed in writing. Any introductions, referrals, recommendations, or connections provided through Build It are provided as networking opportunities only and do not constitute an endorsement, guarantee, or representation regarding the person, business, services, qualifications, or performance of the person or business introduced. You are solely responsible for conducting your own due diligence and for making your own decisions regarding whether to enter into any relationship with another member or third party.

12. Member Interactions, Networking, and No Guarantee of Results

Build It may provide opportunities for members to connect with, communicate with, network with, collaborate with, or otherwise interact with other members, coaches, instructors, speakers, vendors, or other participants through the Services.

Build It does not guarantee the identity, qualifications, experience, professionalism, conduct, reliability, availability, financial condition, business practices, representations, or performance of any member or other participant. Any interaction, communication, introduction, referral, recommendation, collaboration, transaction, business relationship, or other relationship between you and another member or participant is solely between the parties involved. Build It is not a party to, and does not assume responsibility for, any such relationship, transaction, agreement, communication, or interaction.

YOU ACKNOWLEDGE AND AGREE THAT BUILD IT DOES NOT GUARANTEE ANY RESULT, BENEFIT, BUSINESS OPPORTUNITY, REFERRAL, INTRODUCTION, CLIENT, CONTRACT, PROJECT, REVENUE, PROFIT, INVESTMENT RETURN, PARTNERSHIP, EMPLOYMENT OPPORTUNITY, OR OTHER OUTCOME FROM YOUR PARTICIPATION IN THE BUILD IT COMMUNITY, COACHING PROGRAMS, EVENTS, NETWORKING ACTIVITIES, OR SERVICES.

Build It makes no representations or warranties regarding the accuracy, completeness, reliability, qualifications, credentials, financial information, business claims, services, products, or representations of any member or other participant. Build It does not endorse, verify, investigate, or guarantee any member, business, contractor, vendor, service provider, investment opportunity, product, service, recommendation, referral, or other information provided by a member or participant, unless Build It expressly states otherwise in writing.

You are solely responsible for conducting your own due diligence before entering into any business relationship, transaction, contract, investment, partnership, referral arrangement, or other relationship with another member or participant. You are also solely responsible for your own communications, decisions, agreements, transactions, and conduct when interacting with other members or participants.

To the maximum extent permitted by law, Build It will not be responsible or liable for any dispute, disagreement, loss, damage, claim, injury, fraud, misrepresentation, breach of contract, nonpayment, failed transaction, failed business relationship, business loss, or other harm arising from or relating to any interaction or relationship between you and another member or participant. If you choose to engage with another member or participant, you do so at your own risk and are responsible for taking whatever precautions, verification, due diligence, contracts, insurance, professional advice, or other measures you believe are appropriate. Build It may, but is not obligated to, moderate, investigate, restrict, remove, or take action regarding member interactions or disputes. Nothing in this Section limits any rights or remedies that cannot legally be waived or limited under applicable law.

13. Payments and Recurring Billing

By purchasing a membership or other paid service, you authorize Build It or its third-party payment processor to charge the payment method you provide for all applicable fees.

• memberships may automatically renew;
• recurring charges will continue until properly canceled;
• you are responsible for keeping your payment information current; and
• applicable taxes may be added to your purchase.

You authorize Build It to charge your selected payment method for renewal fees and other amounts you owe under these Terms.

14. Cancellation and Refunds

Cancellation and refund rights depend on the product or service purchased and the terms disclosed at registration, enrollment, purchase, in an order form, or otherwise at the time of purchase. Unless otherwise required by law or expressly stated by Build It in writing, refund requests must be submitted within seven (7) days after the applicable purchase or renewal charge. No refunds will be issued after that period.

Monthly memberships or subscriptions may be canceled through your account, the applicable purchase provider, customer support, or another cancellation method made available by Build It. Unless otherwise required by law or expressly stated by Build It, cancellation will take effect at the end of the current billing period, and you will retain access through that date. For any free trial, you must cancel before the trial ends to avoid the first paid charge.

If you enroll in a monthly-billed plan with a commitment term, you remain responsible for payments due during that term unless otherwise required by law, expressly stated at purchase, or approved by Build It in writing. If you enroll in an annual plan, you may cancel renewal at any time, but cancellation does not entitle you to a refund for the unused portion of the current annual term unless required by law or approved by Build It in writing.

Events, live sessions, courses, physical products, promotional offers, and other special offerings may have additional cancellation, rescheduling, return, or refund terms disclosed at purchase. If Build It cancels an event or live session, Build It may provide a refund, credit, or rescheduling option as described for that offering or as required by law. If an event or live session is postponed, rescheduled, or moved, your registration may remain valid for the new date or format unless Build It states otherwise. To request cancellation support or a refund, contact hello@buildit.app or use the applicable cancellation or support method made available by Build It.

Build It may, in its discretion, provide refunds, credits, or other accommodations in individual circumstances. Any refund provided as an exception does not create an obligation to provide refunds in the future.

15. Delinquent Accounts

If a payment fails or becomes delinquent, Build It may:

• retry the payment;
• suspend access;
• restrict membership features;
• cancel the membership; and/or
• pursue amounts owed.

You remain responsible for fees incurred before cancellation or termination.

16. Events, Webinars, and Workshops

Build It may offer live or recorded events, webinars, workshops, coaching sessions, or other educational experiences. Build It reserves the right to modify dates, times, locations, speakers, instructors, coaches, topics, formats, or other event details. Build It does not guarantee that any particular speaker, coach, instructor, or guest will participate in a particular event. Unless otherwise stated, event registration does not grant you any ownership rights in recordings or materials.

17. Third-Party Services

Build It may use third-party platforms and service providers to provide portions of the Services, including payment processing, video hosting, email, scheduling, community functionality, analytics, communications, and other technology. Your use of third-party services may be subject to those providers' separate terms and privacy policies. Build It is not responsible for the availability, security, or performance of third-party services.

18. Account Suspension and Termination

Build It may suspend or terminate your account or access to the Services if you violate these Terms; fail to pay amounts owed; misuse the Services; engage in harmful or abusive conduct; share unauthorized access; infringe intellectual property rights; provide false information; or Build It reasonably believes suspension or termination is necessary to protect Build It, its members, or the Services.

Build It may also discontinue any Service or membership offering at any time. Upon termination, your right to access the Services will immediately cease. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and other applicable provisions.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." BUILD IT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

Build It does not warrant that the Services will always be available, error-free, accurate, current, meet your particular requirements, produce particular business or financial results, or result in any particular business, construction, sales, marketing, or operational outcome.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILD IT AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, COACHES, INSTRUCTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

To the maximum extent permitted by law, Build It's total liability arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the amount you paid to Build It during the twelve (12) months before the event giving rise to the claim; or (b) $100. Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.

21. Indemnification

You agree to defend, indemnify, and hold harmless Build It and its owners, officers, directors, employees, contractors, coaches, instructors, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Services, your violation of these Terms, your User Content, your violation of another person's rights, your unlawful conduct, or your misuse of the Services.

22. Privacy

Your use of the Services is also subject to the Build It Privacy Policy. The Privacy Policy describes how Build It collects, uses, stores, and processes personal information. /legal/privacy-policy

23. Electronic Communications

By using the Services, you consent to receiving electronic communications from Build It, including emails, account notifications, membership communications, service updates, educational communications, event reminders, and other communications related to your account or the Services.

You may opt out of certain promotional communications by following the unsubscribe instructions included in those communications. Opting out of promotional communications will not necessarily stop transactional or service-related communications.

24. Modification or Discontinuation of Services

Build It may modify, suspend, discontinue, or replace any portion of the Services at any time. This may include changes to content, courses, coaches, instructors, community features, workshops, events, membership benefits, pricing, technology, or other Services. Build It will make commercially reasonable efforts to provide notice of material changes where appropriate.

25. Changes to These Terms

Build It may update these Terms from time to time. When we make changes, we may update the "Last Updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after updated Terms become effective constitutes your acceptance of the updated Terms.

26. Governing Law

These Terms will be governed by and interpreted under the laws of the State of California, without regard to its conflict-of-law principles.

27. Dispute Resolution and Arbitration

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding arbitration rather than in court. The arbitration will be conducted by a mutually agreed-upon arbitration provider in accordance with its applicable rules. The arbitrator, rather than a court, will generally have authority to determine disputes subject to arbitration. Nothing in this section prevents either party from seeking temporary or preliminary equitable relief when necessary to protect intellectual property, confidential information, or other legally protectable interests.

28. Class Action Waiver

To the maximum extent permitted by applicable law, you and Build It agree that claims may only be brought on an individual basis and not as part of a class, collective, consolidated, or representative action. Neither you nor Build It may participate in a class action against the other concerning the Services or these Terms, except where prohibited by law.

29. Equitable Relief

You acknowledge that unauthorized use or disclosure of Build It's intellectual property, confidential information, or proprietary materials may cause irreparable harm. Build It may seek injunctive or other equitable relief where appropriate, in addition to any other remedies available under applicable law.

30. Force Majeure

Build It will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, power failures, internet or telecommunications failures, technology failures, cyber incidents, epidemics or pandemics, or other events beyond Build It's reasonable control.

31. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

32. No Waiver

A failure by Build It to enforce any provision of these Terms does not constitute a waiver of that provision or Build It's right to enforce it in the future.

33. Entire Agreement

These Terms, together with any applicable order forms, membership agreements, coaching agreements, policies, and other agreements expressly incorporated by reference, constitute the entire agreement between you and Build It concerning your use of the Services.

34. Assignment

You may not assign or transfer your rights or obligations under these Terms without Build It's prior written consent. Build It may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar transaction.
